3. Charges incurred by you will be honored by your payment provider.
4. You will pay all applicable product prices, taxes, shipping charges, handling charges, and other disclosed fees.

Section 5 — Shipping and Delivery

Shipping, processing, and delivery dates are estimates unless expressly stated otherwise.

Delivery times may vary based on product availability, supplier processing times, order verification, delivery location, carrier operations, weather, customs processing, inventory changes, and other circumstances outside our reasonable control.

Products included in the same order may be shipped separately and may arrive at different times.

When available, tracking information will be provided after an order has shipped.

STS Marketplace is not responsible for delays caused solely by shipping carriers, customs authorities, severe weather, natural disasters, labor disruptions, incorrect delivery information provided by the customer, or other circumstances outside our reasonable control.

If we cannot ship your order within the time stated during checkout, on the applicable product page, or otherwise communicated to you, we will provide notice and the options required under applicable law. These options may include consenting to a revised shipping date or canceling the affected order for a refund.

Customers are responsible for providing a complete and accurate delivery address. Additional charges resulting from an incorrect or incomplete address, refused delivery, missed delivery appointment, or unsuccessful delivery attempt may be the customer’s responsibility where permitted by law.

Claims concerning damaged deliveries, lost shipments, missing items, or packages marked as delivered must be reported to us promptly so we can review the matter with the applicable supplier and shipping carrier.

The Services, including trademarks, trade names, logos, branding, text, displays, graphics, photographs, videos, audio, product reviews, website design, page layouts, and the selection and arrangement of content, are owned by STS Marketplace, its affiliates, suppliers, licensors, or other applicable rights holders.

STS Marketplace names, logos, product names, service names, designs, and slogans are trademarks or intellectual property of STS Marketplace or its licensors. You may not use them without prior written permission.

Shopify names, logos, products, services, designs, and slogans are trademarks of Shopify.

Other names, logos, product names, service names, designs, photographs, and slogans displayed through the Services belong to their respective owners.

STS Marketplace is powered by Shopify, which enables us to provide the Services to you.

However, sales and purchases made through our store are made directly with STS Marketplace.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and STS Marketplace, including injury, damage, or loss resulting from purchased products or services.

To the fullest extent permitted by applicable law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions made with STS Marketplace.

You represent and warrant that:

1. You own or have all necessary rights to submit the Feedback.
2. You have disclosed any compensation, discounts, free products, or other incentives received in connection with the Feedback.

2. Pay compensation for Feedback.

1. Upload or transmit viruses, malware, malicious code, or harmful technology.
2. Reproduce, duplicate, copy, scrape, extract, sell, resell, or commercially exploit any portion of the Services without authorization.

4. Spam, phish, pharm, pretext, crawl, scrape, or otherwise misuse the Services.

An Agent may not access, use, or interact with the Services after we request that it stop doing so.

Agents must:

1. Identify applicable HTTP or HTTPS requests as originating from an Agent.
2. Disclose the Agent’s name through an appropriate user-agent identifier.
3. Not conceal or misrepresent that access or interaction originates from an Agent.
4. Not mimic human behavior for the purpose of bypassing restrictions.
5. Not complete or circumvent CAPTCHAs or similar measures intended to distinguish automated use from human use.
6. Respond truthfully to requests intended to determine whether an interaction originates from a human or automated system.
7. Not bypass measures intended to restrict, block, modify, or control Agent access.

We may terminate these Terms or suspend or terminate your access to all or part of the Services at any time when permitted by law, including if we reasonably determine that you have violated these Terms.

You will remain responsible for amounts properly due through the effective date of termination.

Some jurisdictions do not allow limitations or exclusions of certain warranties. In those jurisdictions, portions of this disclaimer may not apply to you, and your rights will be determined by applicable law.

To the fullest extent permitted by applicable law, STS Marketplace and its partners, directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, licensors, and representatives, and Shopify and its affiliates, will not be liable for indirect, incidental, punitive, special, exemplary, or consequential damages.

This includes lost profits, lost revenue, lost savings, lost data, replacement costs, loss of business opportunity, or similar damages arising from or related to:

1. Your use of or inability to use the Services.
2. Products or services obtained through the Services.
3. Errors or omissions in content.
4. Content or products made available through the Services.
5. Unauthorized access to or alteration of your information.
6. Another matter related to the Services.

These limitations apply regardless of whether liability is based on contract, tort, negligence, strict liability, statute, or another legal theory, even if we were advised of the possibility of the damages.

Some jurisdictions do not permit exclusions or limitations of certain liabilities. In those jurisdictions, our liability will be limited only to the maximum extent permitted by applicable law.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless STS Marketplace, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, suppliers, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from:

2. Your violation of applicable law.
3. Your violation of another person’s rights.
4. Your misuse of the Services.

We will provide reasonable notice of an indemnifiable claim. A failure to provide prompt notice will not relieve you of your obligations unless the delay materially prejudices your ability to respond.

Where permitted by law, we may control the defense and settlement of the claim at your expense, including the selection of counsel. We will not agree to a settlement imposing nonmonetary obligations on you without your consent, which will not be unreasonably withheld.

You agree to reasonably cooperate with the defense of an indemnified claim.

If any provision of these Terms is determined to be unlawful, void, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by law.

The unenforceable portion will be considered severed from these Terms, and the determination will not affect the validity or enforceability of the remaining provisions.

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with policies and operating rules posted through the Services, constitute the entire agreement between you and STS Marketplace concerning your use of the Services.

They replace prior or contemporaneous agreements, communications, representations, and proposals concerning the Services, whether written or oral.

Any ambiguity in the interpretation of these Terms will not automatically be interpreted against the party that drafted them.

Nothing in this section deprives a consumer of protections or rights that cannot be waived under applicable law.
